    Please read these Terms of Service (the “Terms”) carefully because they govern your use of the website located at https://wayfinder.ai (the “Site”). The Site enables access to a decentralized protocol that is designed to allow artificial intelligent agents to interact with one another through a permissionless blockchain-based network (the “Protocol”) made available by Wayfinder Foundation (the “Foundation”, “we”, “us” or “our”). The Foundation does not own, control, manage or operate the Protocol, which is a community-driven, peer-to-peer set of blockchain-based smart contracts and tools that enable certain users (“Users”) and artificial intelligent agents ( “Agents”) to interact with the Protocol to create, move or otherwise interact with cryptoassets across multiple blockchains. To make these Terms easier to read, the Site and our services are collectively called the “Interface.”

    THE EXPERIMENTAL USE OF ARTIFICIAL INTELLIGENCE IS AT YOUR OWN RISK

    Interacting with Agents via the Interface for transactions involving cryptoassets is highly experimental. Agents may exhibit unintended or unpredictable behavior (“Hallucinations”) that could result in the loss of your cryptoassets or other unknown or unpredictable adverse consequences. In addition, Agents may perform actions that are not anticipated, or that deviate significantly and materially from instructions you have provided to the Agent. These Hallucinations could lead to unintended behavior that could result in loss of your cryptoassets or other harms that may not be apparent, anticipated, known, or predictable. Your use or interaction with the Agents via the Interface and the Protocol is highly experimental and acknowledge and accept all of the risks associated with such use, including but not limited to those risks described above.

    BEFORE ACCESSING THE INTERFACE OR ANY SERVICES YOU MUST READ, UNDERSTAND AND AGREE TO THE TERMS OF SERVICE AND THE FOLLOWING DISCLAIMER. YOUR USE OF THE INTERFACE ENABLES ACCESS TO A SERIES OF SMART CONTRACTS AND RELATED SERVICES THAT ARE NOT CONTROLLED OR MANAGED BY US. BECAUSE THE SERVICES ARE HIGHLY EXPERIMENTAL, BY CONTINUING TO ACCESS THIS SITE OR THE INTERFACE, OR OTHERWISE ACCESS THE SMART CONTRACTS OR RELATED SERVICES, YOU AGREE TO THE FOLLOWING TERMS.     Interaction this interface & crypto-assets WARNING

    By accessing the interface, any smart contract or related services, you have the ability to interact with crypto-assets and distributed ledger technology (“DLT”) through a blockchain. The novel and largely untested nature of DLT means that the Protocol, or accompanying technologies or services, may not function as intended or at scale, and inherent flaws or limitations in the software underlying the Protocol or its design could manifest in ways that have not been identified or are understood. This could result in vulnerabilities to cyber-attacks, AI hallucinations, the irreversibility of transactions, susceptibility to fraud, software bugs, or other technical issues that could compromise the integrity, security, or reliability of the Protocol, the interface or any related services. When you use any of the services you acknowledge and agree that you will solely be responsible for your interactions with all crypto-assets that are directly or indirectly linked to this interface. Any access that the interface or this site provides are to smart contracts or blockchain protocols we do not control or manage, and are provided on an “as is” basis.. You are solely responsible for safeguarding your credentials, your private keys, any passwords or other authentication credentials. You agree to hold harmless and waive any and all claims against the Wayfinder Foundation for any and all claims that are directly or indirectly related to any harm you suffer, loss of funds, or any other damages that arise from or are related to any interaction with the interface or smart contracts deployed through the Wayfinder Protocol.

    We reserve the rights to delete this interface, content, data and related systems at any time for any reason, including while you may be using the interface, the content, or any related data or system. We reserve the right to review or forward any data we have obtained or collected on this interface for research, commercial purposes, compliance or in connection with compliance of any relevant laws or regulations, including for our own defense.

    Prohibited Use WARNING

    Use of this interface and any related services is prohibited by any individual from or within any jurisdiction identified on the Office of Foreign Asset Control (OFAC) restricted jurisdictions list HERE, or any such similar list maintained by a competent authority in another jurisdiction. Furthermore, you are prohibited from using virtual private network (VPN) with the purpose of circumventing access to this interface or any related service because you are from or within any restricted jurisdiction. You may not use this interface or related services to violate any applicable law or regulation; or encourage or enable any other individual to do any of the forgoing. Use of the interface or related services for illegal, malicious, or nefarious purposes is strictly prohibited and will result in immediate revocation of access to this interface or related services and may also be subject to reviewed or forwarded for compliance or in connection with compliance of any relevant laws or regulations, including for our own defense.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU FURTHER AGREE TO WAIVE ANY AND ALL CLAIMS AGAIST THE FOUNDATION OR ANY SERVICE PROVIDER TO THE FOUNDATION THAT YOU MAY HAVE IN CONNECTION WITH YOUR USE OR MISUSE OF THE INTERFACE OR ANY RELATED SERVICES.     Please read these terms and conditions carefully before using the Interface for any reason. Your use of the Interface is conditional upon your agreement to the Terms set out below. If you do not agree and you do not give your consent to be bound to the Terms, do not use the Interface and, if presented with the option to “ACCEPT” to the Terms of use, only select “ACCEPT” if you certify that you consent to be bound by the Terms.

    If you do not meet the eligibility requirements set forth below in the Terms or are otherwise not in strict compliance with these Terms, you are expressly prohibited from using, accessing, or deriving any benefit from the Interface and you must not attempt to access or use the Interface. Use of a virtual private network (e.g., a VPN) or other means by ineligible persons to access or use the Interface is prohibited, and prohibited uses may attract legal liability for fraudulent use of the Interface.

    WHEN YOU AGREE TO THESE TERMS, YOU ARE AGREEING (WITH LIMITED EXCEPTION) TO RESOLVE ANY DISPUTE BETWEEN YOU AND The Foundation THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT. PLEASE REVIEW CAREFULLY SECTION 15 (DISPUTE RESOLUTION) BELOW FOR DETAILS REGARDING ARBITRATION. HOWEVER, IF YOU ARE A RESIDENT OF A JURISDICTION WHERE APPLICABLE LAW PROHIBITS ARBITRATION OF DISPUTES, , THE AGREEMENT TO ARBITRATE IN SECTION 15 WILL NOT APPLY TO YOU BUT THE PROVISIONS OF SECTION 14 (GOVERNING LAW AND FORUM CHOICE) WILL APPLY INSTEAD. FROM TIME TO TIME AND AT ANY TIME, THE Terms MAY BE CHANGED, AMENDED, OR REVSIED WITHOUT NOTICE OR CONSULTATION. IF YOU DO NOT AGREE TO THE REVISED TERMS, THEN YOU SHOULD NOT CONTINUE ACCESS OR USE THE INTERFACE.

    1. 1. Agreement to Terms

    By using our Interface, you agree to be bound by these Terms. If you don't agree to be bound by these Terms, then you must not use the Interface or access the Site. Notwithstanding the foregoing, the laws of some jurisdictions may limit or not permit certain provisions of this agreement, such as indemnification, the exclusion of certain warranties or the limitation of liability. In such a case, such provisions will apply only to the maximum extent permitted by the laws of such jurisdictions. Also, you may have additional legal rights in your jurisdiction, and nothing in these terms will prejudice such rights that you may have as a consumer of the Interface under such applicable law.

    1. 2. Changes to these Terms or the Interface

    We may update these Terms from time to time in our sole discretion. If we do, we'll let you know by posting the updated Terms on the Site and/or may also send other communications. It's important that you review these Terms whenever we update them or you use the Interface. If you continue to use the Interface after we have posted updated Terms, it means that you accept and agree to the changes. If you don't agree to be bound by the changes, you may not use the Interface anymore. Because our Interface is evolving over time, we may change or discontinue all or any part of the Interface, at any time and without notice, at our sole discretion.

    1. 3. Who May Use the Interface? 

    You may use the Interface only if you are at least 18 years of age (or such other minimum age at which you can provide consent to data processing under the laws of your territory), and not otherwise barred from using the Interface under applicable law. In order to protect the integrity of the Interface, we reserve the right, at any time, in our sole discretion, to block access to the Interface from certain IP addresses and unique device identifiers. For the purposes of these Terms, “Restricted Territory” means of Algeria, Bangladesh, Bolivia, Belarus, Burundi, Burma (Myanmar), Cote D'Ivoire (Ivory Coast), Crimea and Sevastopol, Cuba, Democratic Republic of Congo, Ecuador, Iran, Iraq, Liberia, Libya, Mali, Morocco, Nepal, North Korea, Somalia, Sudan, Syria, Venezuela, Yemen, Zimbabwe or any other country to which Canada, Panama, the United States, the United Kingdom or the European Union embargoes goods or imposes similar sanctions.

    1. 4. About the Interface
      1. a. Interface. The Site provides an interface by which Users may access the Protocol, which is an ownerless, decentralized, non-upgradable, non-custodial, community-governed artificial intelligece protocol deployed on multiple blockchain networks and systems, and which provides information about the Foundation's ecosystem, , community, and various interfaces and integrations to the Interface. All information provided in connection with your access and use of the Interface is for informational purposes only. You should not take, or refrain from taking, any action based on any information contained on the Interface or any other information that we make available at any time, including blog posts, data, articles, links to third-party content, Discord content, Discourse content, news feeds, tutorials, tweets, and videos. Before you make any financial, legal, technical, or other decisions involving the Interface, you should seek independent professional advice from a licensed and qualified individual in the area for which such advice would be appropriate. Because the Interface provides information about the Protocol, these Terms also provide some information about the use of the Protocol. This information is not intended to be comprehensive or address all aspects of the Protocol.
      2. b. Our Relationship. You acknowledge and agree that the Foundation is an online platform provider and not a regulated institution, broker-deal, exchange or money services business. The Foundation does not direct or control the day-to-day activities of the users accessing this Interface or Protocol. Neither we nor any affiliated entity is a party to any transaction on the blockchain networks underlying the Protocol; we do not have possession, custody or control over any cryptoassets appearing on the Interface or on the Protocol; and we do not have possession, custody, or control over any User's funds or cryptoassets. Further, we do not store, send, or receive any funds or cryptoassets. You understand that when you interact with any Protocol smart contracts, you retain control over your cryptoassets at all times. The private key associated with the wallet address from which you transfer cryptoassets or the private key associated is the only private key that can control the cryptoassets you transfer into the smart contracts. You alone are responsible for securing your private keys. We do not have access to your private keys. Because the Protocol is non-custodial and decentralized nature of the technology, we are not intermediaries, agents, advisors, or custodians, and we do not have a fiduciary relationship or obligation to you regarding any other decisions or activities that you affect when using our the Interface. You acknowledge that we, for the avoidance of doubt, do not have any information regarding any Users, Users' identities, or services beyond what is available or obtainable publicly via the blockchain, or shared by you when you access the Interface. We are not responsible for any activities you engage in when using the Interface, and you should understand the risks associated with cryptoassets, blockchain technology generally, and the Interface. The software underlying blockchain networks on which the Protocol is deployed is open sourced, which means that anyone can access, utilize, and build on top of it. By using the Interface, you acknowledge and agree (i) that we are not responsible for the operation of the blockchain-based software and networks underlying the Protocol, (ii) that there exists no guarantee of the functionality, security, or availability of that software and networks, and (iii) that the underlying blockchain-based networks are subject to sudden chan
      3. c. Interface. The Site provides an interface by which Users may access the Protocol. The Protocol is deployed on multiple blockchain-based networks, and we are not responsible for the operation of such networks. The software underlying blockchain networks on which the Protocol is deployed, including, for example, the Ethereum blockchain, is open source, which means that anyone can use, utilize, and build on top of it. By using the Interface, you acknowledge and agree (i) that we are not responsible for the operation of the blockchain-based software and networks underlying the Protocol, (ii) that there exists no guarantee of the functionality, security, or availability of that software and networks, and (iii) that the underlying blockchain-based networks are subject to sudden changes in operating rules, such as those commonly referred to as “forks”.
      4. d. Blockchain Fees. There may be associated blockchain fees. All transactions using blockchains require the payment of gas fees, which are essentially transaction fees paid on every transaction that occurs on the selected blockchain network. Please note that gas fees are non-refundable.
      5. e. Caching. The Interface provides access to a caching web-based dashboard by which you can cache your assets (“Caching Dashboard”). Like all other services provided on this Site and the App, the Caching Dashboard is available on an “as is” basis without warranties of any kind, either express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose and non-infringement and your use of the Caching Dashboard is entirely at your own risk. We do not make nor provide any warranties or representations about the accuracy, currency, completeness, availability, security, or reliability of the Caching Dashboard. By accessing the Caching Dashboard you assume all risks associated with using the Caching Dashboard, including risks that may exist outside of the Caching Dashboard and our Interface to cryptoassets, decentralized systems and cryptoassets markets generally. These include but are not limited to: (a) the fact that cryptoassets are highly volatile and could be unstable; (b) staking or delegating cryptoassets is inherently risky because of the open source and permissionless systems used to enable this functionality and the potential unauthorized acts of third parties that could comprise these systems or your cryptoassets; (c) the fact that you may not have ready access to your cryptoassets used on the Caching Dashboard; and (d) the potential that you may lose some or all of your tokens or other assets through no fault of your own. You understand and acknowledge that you will have no recourse against us for any losses that result from your use, indirect or otherwise, of the Caching Dashboard. For example only, these losses may arise from or relate to: (i) lost funds; (ii) server failure or data loss; (iii) corrupted cryptocurrency wallet files; (iv) unauthorized access; (v) errors, mistakes, or inaccuracies; or (vi) third-party activities. Your interaction with the Caching Dashboard will solely be through your public digital wallet address and any personal or other data that you may make available in connection with the Caching Dashboard may not be private or secure.
      6. f. Overall Contribution Score. You will receive, in part, an Overall Contribution Score for the participating in growing the protocol ecosystem through activities including: referring new protocol participants, submittingsubmit URLs or smart contract addresses that help define data points to be used for the training of the various large language models “LLMs” and/or participating community engagement events of protocol partners or events hosted on the Interface. You may also be eligible receive bonuses to your Contribution Score by opting in to lock your cryptoassetslocking up crypto assets in blockchain-based smart contracts from community approved Participating Networks for defined time periods (also called,“Caching”) for 21 days up to 3 years. Contribution Scores are determined by your overall participation and engagement in the Wayfinder ecosystem and areis subject to change if new ecosystem features are added to the protocol.
      7. i. No Guarantee. We do not guarantee the availability of any particular redemption level or reward. Your Contribution Score in relation to Future Governance Incentives may be substantially increased, withdrawn, decreased, or restricted for redemption at any time.
      8. ii. No Monetary Value. Your Contribution Score has no cash value, are not exchangeable for cash, and are not transferrable. The sale barter, or other disposal of your Contribution Score is expressly prohibited.
      9. iii. Changes to Calculation. We expressly reserve the right, in our sole and absolute discretion, to modify, alter, or change the calculation or valuation of your Contribution Score at any time and for any reason without prior notice. Any modification, alterations, or changes may include, but are not limited to, increasing or decreasing your Contribution Score, changing the activities for which Contribution Scores are calculated or weighted, or imposing limits on the accumulation or redemption of Contribution Scores.
      10. g. Participating Networks. To continue to expand Wayfinders reach across different decentralized blockchains, the Wayfinder community may propose to add new decentralized protocols and/or blockchain-based systems such as those following the Ethereum Token Standard (ERC-20) and/or Solana Programing Library (SPL) to the protocol.
      11. h. Future Governance Incentives. You may be you may be eligible for receiving governance power in a form that is usable within the Wayfinder ecosystem. In order to successfully claim this governance power, you agree to (i) allow the Wayfinder Foundation to register any change to governance power associated with your public digital wallet address provided and (ii) enable receiving any fungible or non-fungible representations of governance power to your public digital wallet address provided.
      12. i. Communication from the Interface. You may elect to receive emails or other communications from the Foundation in connection with the Interface. If you elect receive communications in connection with your Loan, you agree and acknowledge that the Foundation is under no obligation to send any emails or communicate with you regarding such Loan or the expiration of such Loan, and that the Foundation will not be responsible or liable to you for any loss and takes no responsibility for and will not be liable to you for in the case of failure of such email or communication.
      13. j. Regulatory and Compliance Suspensions or Terminations. We may suspend or terminate your access to the Interface at any time in connection with any transaction as required by applicable law, any governmental authority, or if we in our sole and reasonable discretion determine you are violating these Terms or the terms of any third-party service provider. Such suspension or termination shall not be constituted a breach of these Terms by the Foundation. In accordance with its anti-money laundering, anti-terrorism, anti-fraud, and other compliance policies and practices, we may impose reasonable limitations and controls on the ability of you or any beneficiary to utilize the Interface. Such limitations may include, where good cause exists, rejecting transaction requests, freezing funds, or otherwise restricting you from using the Interface.
    2. 5. Content
      1. a. The Foundation's Intellectual Property. We may make available through the Interface content that is subject to intellectual property rights. We retain all rights to that content.
      2. b. Feedback. We appreciate feedback, comments, ideas, proposals and suggestions for improvements to the Interface (“Feedback”). If you choose to submit Feedback, you agree that we are free to use it (and permit others to use it) without any restriction or compensation to you.
    1. 6. General Prohibitions and the Foundation's Enforcement Rights

    You agree not to do any of the following:

    1. a. Post, upload, publish, submit or transmit any content that: (i) infringes, misappropriates or violates a third party's patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iii) is fraudulent, false, misleading or deceptive; (iv) is defamatory, obscene, pornographic, vulgar or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (vi) is violent or threatening or promotes violence or actions that are threatening to any person or entity; or (vii) promotes illegal or harmful activities or substances;
    2. b. Use, display, mirror or frame the Interface or any individual element within the Interface, the Foundation's name, any Foundation trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without the Foundation's express written consent;
    3. c. Access, tamper with, or use non-public areas of the Interface, the Foundation's computer systems, or the technical delivery systems of the Foundation's providers;
    4. d. Attempt to probe, scan or test the vulnerability of any Foundation system or network or breach any security or authentication measures;
    5. e. Avoid, bypass, remove, deactivate, impair, descramble or otherwise circumvent any technological measure implemented by the Foundation or any of the Foundation's providers or any other third party (including another user) to protect the Interface;
    6. f. Attempt to access or search the Interface or download content from the Interface using any engine, software, tool, agent, device or mechanism (including spiders, robots, crawlers, data mining tools or the like) other than the software and/or search agents provided by the Foundation or other generally available third-party web browsers;
    7. g. Use the Site, or any portion thereof, for any commercial purpose or for the benefit of any third party or in any manner not permitted by these Terms
    8. h. Send any unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters or other form of solicitation;
    9. i. Use any meta tags or other hidden text or metadata utilizing Foundation trademark, logo URL or product name without the Foundation's express written consent;
    10. j. Use the Interface, or any portion thereof, for any commercial purpose or for the benefit of any third party or in any manner not permitted by these Terms;
    11. k. Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Interface to send altered, deceptive or false source-identifying information;
    12. l. Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Interface;
    13. m. Interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Interface;
    14. n. Collect or store any personally identifiable information from the Interface from other users of the Interface without their express permission;
    15. o. Impersonate or misrepresent your affiliation with any person or entity;
    16. p. Violate any applicable law or regulation; or
    17. q. Encourage or enable any other individual to do any of the foregoing.

    The Foundation is not obligated to monitor access to or use of the Interface or to review or edit any content. However, we have the right to do so for the purpose of operating the Interface, to ensure compliance with these Terms and to comply with applicable law or other legal requirements. We reserve the right, but are not obligated, to remove or disable access to any content, including User Content, at any time and without notice, including, but not limited to, if we, at our sole discretion, consider it objectionable or in violation of these Terms. If we have a reasonable belief that you have created multiple accounts or have associated the same digital asset wallet to multiple accounts, we reserve the right to disable your access to the Interface. We may also consult and cooperate with law enforcement authorities to prosecute users who violate the law.

    1. 7. No Fiduciary Duties

    The Interface is not intended to, and does not, create or impose any fiduciary duties on the Foundation. To the fullest extent permitted by law, any user of the Interface acknowledges and agrees that the Foundation owes no fiduciary duties or liabilities it or any other party, and that to the extent any such duties or liabilities may exist at law or in equity, those duties and liabilities are hereby irrevocably disclaimed, waived, and eliminated. Any user of the Interface further agrees that the only duties and obligations that the Foundation may owe are those set out expressly herein.

    1. 8. Copyright Policy

    The Foundation respects copyright law and expects its users to do the same. It is the Foundation's policy to terminate access in appropriate circumstances for account holders who repeatedly infringe or are believed to be repeatedly infringing the rights of copyright holders.

    1. 9. Links to Third Party Websites or Resources

    The Interface may allow you to access third-party websites or other resources. We provide access only as a convenience and are not responsible for the content, products or services on or available from those resources or links displayed on such websites. You acknowledge sole responsibility for and assume all risk arising from your use of any third-party resources.

    1. 10. Termination

    We may suspend or terminate your access to and use of the Interface, including suspending access to your account, at our sole discretion, at any time and without notice to you. You may cancel your access at any time by sending us an email at Upon any termination, discontinuation or cancellation of the Interface or your access to the Interface, the following Sections, and such other provisions that by their nature are intended to survive, will survive: 4, 5, 6, 7, 10, 11, 12, 13, 14, 15 and 16.

WITHOUT LIMITING THE FOREGOING, WE EXPLICITLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE MAKE NO WARRANTY THAT THE INTERFACE WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS OR RELIABILITY OF ANY INFORMATION OR CONTENT ON THE INTERFACE.

    THE FOUNDATION WILL NOT BE RESPONSIBLE OR LIABLE TO YOU FOR ANY LOSS AND TAKES NO RESPONSIBILITY FOR, AND WILL NOT BE LIABLE TO YOU FOR, ANY USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO ANY LOSSES, DAMAGES OR CLAIMS ARISING FROM: (I) USER ERROR SUCH AS FORGOTTEN PASSWORDS, INCORRECTLY CONSTRUCTED TRANSACTIONS, OR MISTYPED WALLET ADDRESSES; (II) SERVER FAILURE OR DATA LOSS; (III) CRYPTOCURRENCY WALLETS OR CORRUPT FILES; (IV) UNAUTHORIZED ACCESS TO SERVICES; OR (V) ANY THIRD PARTY ACTIVITIES, INCLUDING WITHOUT LIMITATION THE USE OF VIRUSES, PHISHING, BRUTEFORCING OR OTHER MEANS OF ATTACK AGAINST ANY BLOCKCHAIN NETWORK UNDERLYING THE SERVICES.

    By accessing and using the Interface, you represent that you understand the inherent risks associated with using cryptographic and blockchain-based systems, and that you have a working knowledge of the usage and intricacies of cryptoassets and other digital assets such as bitcoin (BTC), ether (ETH), USD Coin (USDC) and other digital tokens such as those following the Ethereum Token Standard (ERC-20). You further understand that the markets for these cryptoassets are highly volatile due to factors including (but not limited to) adoption, speculation, technology, security, and regulation. You acknowledge that the cost and speed of transacting with cryptographic and blockchain-based systems are variable and may increase at any time. You further acknowledge the risk that your cryptoassets may lose some or all of their value while they are supplied to or from the Interface. You further acknowledge that we are not responsible for any of these variables or risks and cannot be held liable for any resulting losses that you experience while accessing Interface. Accordingly, you understand and agree to assume full responsibility for all of the risks of accessing, using and interacting with the Interface.

    1. 12. Indemnity

    You will indemnify and hold the Foundation and its officers, directors, employees and agents harmless from and against any claims, disputes, demands, liabilities, damages, losses, costs and expenses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with (a) your access to or use of the Interface, (b) any content that you post or otherwise make available through the Interface, or (c) your violation of these Terms.

      1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER THE FOUNDATION NOR ITS SERVICE PROVIDERS INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOST PROFITS, LOST REVENUES, LOST SAVINGS, LOST BUSINESS OPPORTUNITY, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE SERVICES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE FOUNDATION OR ITS SERVICE PROVIDERS HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
      2. TO THE MAXIMUM EXTENT PERMITTED BY THE LAW OF THE APPLICABLE JURISDICTION, IN NO EVENT WILL THE FOUNDATION'S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES EXCEED, AS APPLICABLE, THE AMOUNTS YOU HAVE PAID OR ARE PAYABLE BY YOU TO THE FOUNDATION FOR USE OF THE SERVICES OR, IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO THE FOUNDATION, ONE HUNDRED DOLLARS ($100).
      3. THE EXCLUSIONS AND LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN THE FOUNDATION AND YOU.
    1. 14. Governing Law and Forum Choice

    These Terms and any action related thereto will be governed by the laws of the Cayman Islands, without regard to its conflict of laws provisions. The parties expressly consent to personal and exclusive jurisdiction in the courts located in the Cayman Islands, and you and the Wayfinder Foundation each waive any objection to jurisdiction and venue in such courts.

    1. 15. Indemnity
      1. a. Mandatory Arbitration of Disputes. We each agree that any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof or the use of the Interface (collectively, “Disputes”) will be resolved solely by binding, individual arbitration and not in a class, representative or consolidated action or proceeding. You and the Foundation agree that the Cayman Arbitration Act governs the interpretation and enforcement of these Terms, and that you and the Foundation are each waiving the right to a trial by jury or to participate in a class action. This arbitration provision shall survive termination of these Terms.
      2. b. Exceptions. As limited exceptions to Section 15.a above: (i) we both may seek to resolve a Dispute in small claims court if it qualifies; and (ii) we each retain the right to seek injunctive or other equitable relief from a court to prevent (or enjoin) the infringement or misappropriation of our intellectual property rights.
      3. c. Conducting Arbitration and Arbitration Rules. The arbitration will be conducted by JAMS under its JAMS Comprehensive Arbitration Rules and Procedures (the “JAMS Rules”) then in effect, except as modified by these Terms. The JAMS Rules are available at https://www.jamsadr.com/. A party who wishes to start arbitration must submit a written Demand for Arbitration to JAMS and give notice to the other party as specified in the JAMS Rules. JAMS provides a form Demand for Arbitration at https://www.jamsadr.com/. Any arbitration hearings will take place San Francisco, California, but will be conducted remotely to the extent permitted by the JAMS Rules. The parties agree that the arbitrator shall have exclusive authority to decide all issues relating to the interpretation, applicability, enforceability and scope of this arbitration agreement.
      4. d. Arbitration Costs. Payment of all filing, administration and arbitrator fees will be governed by the JAMS Rules, and we won't seek to recover the administration and arbitrator fees we are responsible for paying, unless the arbitrator finds your Dispute frivolous. If we prevail in arbitration we'll pay all of our attorneys' fees and costs and won't seek to recover them from you. If you prevail in arbitration you will be entitled to an award of attorneys' fees and expenses to the extent provided under applicable law.
      5. e. Injunctive and Declaratory Relief. Except as provided in Section 15.b above, the arbitrator shall determine all issues of liability on the merits of any claim asserted by either party and may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. To the extent that you or we prevail on a claim and seek public injunctive relief (that is, injunctive relief that has the primary purpose and effect of prohibiting unlawful acts that threaten future injury to the public), the entitlement to and extent of such relief must be litigated in a civil court of competent jurisdiction and not in arbitration. The parties agree that litigation of any issues of public injunctive relief shall be stayed pending the outcome of the merits of any individual claims in arbitration.
      6. f. Class Action Waiver. YOU AND The Foundation AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, if the parties' Dispute is resolved through arbitration, the arbitrator may not consolidate another person's claims with your claims, and may not otherwise preside over any form of a representative or class proceeding. If this specific provision is found to be unenforceable, then the entirety of this Dispute Resolution section shall be null and void.
      7. g. Severability. With the exception of any of the provisions in Section 15.f (Class Action Waiver), if an arbitrator or court of competent jurisdiction decides that any part of these Terms is invalid or unenforceable, the other parts of these Terms will still apply.
    1. 16. General Terms
      1. a. Reservation of Rights. The Foundation and its licensors exclusively own all right, title and interest in and to the Interface, including all associated intellectual property rights. You acknowledge that the Interface is protected by copyright, trademark, and other laws of the United States and foreign countries. You agree not to remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated by the Foundation.
      2. b. Entire Agreement. These Terms constitute the entire and exclusive understanding and agreement between the Foundation and you regarding the Interface, and these Terms supersede and replace all prior oral or written understandings or agreements between the Foundation and you regarding the Interface. If any provision of these Terms is held invalid or unenforceable by an arbitrator or a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect. You may not assign or transfer these Terms, by operation of law or otherwise, without the Foundation's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null. The Foundation may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.
      3. c. Notices. Any notices or other communications provided by the Foundation under these Terms will be given: (i) via email; or (ii) by posting to the Interface. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.
      4. d. Waiver of Rights. The Foundation's failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of the Foundation. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.
    1. 17. Malicious Actor Policy

    The Wayfinder Score system is designed to be resistant to malicious actors, bad behavior, and general abuse. There will always be edge cases that we have not predicted that will become obvious when we do a detailed analysis of accounts closer to TGE time. Deliberately abusing any feature of the Score or Modifier system will not be tolerated. Example: We have a high tolerance for referring wallets, even referring your own wallets, but expect users to be reasonable, responsible, and honest. There will be a clear common sense line between diversification of your assets and abuse. If you cross into whatever we deem "abuse" territory, you will be subject to forfeiture of all points related to the referral modifier, as well as other potential penalties. The wallet referral system is an easy example, but it is important for our users to know that we will take any attempts to abuse our system, and attempts to act in bad faith to increase your profits at the expense of others, very seriously. When it is time for TGE we will be following examples set down by projects that have recently set philosophical precedents with their own TGEs. Should there ever come a time when users have found a way to abuse the Score system, we will offer a chance to self-report pre-TGE, without added penalties. This post serves as a preemptive warning, not inspired by any current vulnerabilities, but out of the interest of transparency for our users. If you are acting in good faith, you need not be concerned. If you are acting in bad faith and are already attempting to circumvent or exploit our systems, you should be concerned. Deliberate abuse will not be tolerated and will possibly be subject to further punishment beyond forfeiture of ill-gotten rewards. We will not support the exploitation of the majority of our users for the benefit of the few.
